Caribbean CAGE, LLC (CAGE) was founded in 2004 for the purpose of bringing a superior Video Lottery Terminal (VLT) system and exciting new game content to targeted Caribbean countries with the goal of enhancing local economies and creating local entrepreneurial and employment opportunities. Subsequent opportunities have presented themselves in specific Latin American countries adding South America to CAGE's geographic area of interest. CAGE recognizes the uniqueness of each Caribbean and Latin American nation and therefore works directly with govemment entities to ensure that CAGE's presence will work to further the country's economic and public interest pursuits.

CAGE is a US Virgin Islands registered company, with business licenses allowing operation throughout the region. CAGE's offices are located in each market where the VLT licenses are held. To date, CAGE has obtained licenses and/or rights to operate VLT's within the countries of Barbados, Dominican Republic, St. Lucia, St. Kitts-Nevis, Guyana and SXM.

The senior management team at CAGE consists of individuals with extensive experience in traditional online industry. In addition, members of the team have developed and operated large gaming routes which have included Video Lottery Terminals offering games such as video poker, blackjack, keno and slots. · Robert B. Washington :: Chairman & CEO
Mr. Washington, Chairman and CEO of Caribbean CAGE, LLC earned his BA in Political Law Science at St. Peters College in 1967. In 1967 he decided to become a Lawyer and enrolled in Howard University’s School of Law and in 1970, earned his JD with honors finishing #3 in his class. He then joined the faculty of Harvard Law School as a Teaching Fellow and earned an LLM while teaching at Harvard Law School. He returned to Washington, D.C. in 1973 where he was offered positions of Professor at the Howard University Law School and Counsel to the Senate Committee on the District Columbia.
Mr. Washington was the staff architect of Home Rule for D.C. Following over 5 years in Congress, in 1975 Mr. Washington was offered the opportunity to enter the private sector as a partner in the Danzansky, Dickey Law Firm, one of the most prestigious firms in Washington D.C. His performance in this position catapulted Bob into several larger firms in Washington, first as a Partner and then to Managing Partner of a large national firm with over 800 lawyers.
Mr. Washington’s sterling legal career culminated and his meteoric business career began with his decision to start up his own law firm and consulting company, Laxalt, Washington, Perito & Dubic, during which time he continued his representation of and consulting with several foreign governments in Africa and the Caribbean including Angola, Cameroon, Gabon, Nigeria, Antigua and Barbuda and St. Kitts and Nevis. In 1994, Mr. Washington was offered an exclusive gaming license by the government of Antigua and Barbuda to manage and operate the government owned electronic lottery. This initial opportunity catapulted the growth of this operation into 6 other Caribbean countries during the next 5 years. LILHCo the largest lottery operator in the Caribbean was then sold to GTECH in 2004.
Following the sale of LILHCo, Mr. Washington started Caribbean CAGE, LLC which is a gaming and entertainment company engaged in video lotteries and other forms of gaming in the Caribbean and Latin America.
Mr. Washington is an investor in a number of enterprises including one of the owners of the Charlotte Hornets, NBA Basketball Team.
· Rafael A. De La Cruz :: Executive VP / Strategy & Business Development
Mr. De La Cruz has over thirty (30) years of hands-on experience in the Latin America and Caribbean Market. He joins Caribbean CAGE, LLC as the Executive Vice President, Strategy and Business Development on September 2008. Before joining he was the CEO of Supreme Gaming LTD. from Oct. ’06 through Jan. ’08. Prior, Mr. De La Cruz was Vice President of Latin America and the Caribbean Operations at GTECH Corporation, where he achieved fifteen successful years of tenure (1991-2006). He began as the Sales Director for Latin America and the Caribbean and later promoted to Vice President. In his capacity he successfully set the strategy for the Region, negotiated with governments and local businesses; grew the Latin American Region to twelve (12) major accounts, which included the purchase of LILHCo in 2004. Under his leadership GTECH’s Regional Revenues portfolio grew from US$10MM/yr. to over US$300MM/yr.
From 1976 to 1991 Mr. De La Cruz was humming his skills as a Sales and Marketing Manager at Amtote, General Instrument Corporation where he started as Data Center Operations Supervisor of the Off-Track Betting facilities (OTB), Teletrack and the Connecticut Lottery. Expanded into sales and marketing in Europe and Latin America including the Caribbean. From 1974 through 1976, Mr. De La Cruz was a Project Manager at Olivetti Corporation of America in charge of installing the first on-line, real-time terminal network for the NYC Police Department connecting all Police precincts throughout the five boroughs to Headquarters at One Police Plaza.
Mr. De La Cruz attended Towson State University (BS, Business Administration), numerous seminars, programs and post graduate courses throughout his career and completed “Mergers and Acquisitions” at Harvard Business School ’06.
· Todd W. Washington :: VP - Business Development / Government Relations
Todd W. Washington has spent the last 17 years in the Caribbean working in the gaming, sports and entertainment industries. He is recognized throughout the region as an agent of change.
In 1995, Mr. Washington helped launch the Leeward Islands Lottery Company (LILHC). LILHC owned, operated and managed National Lotteries in the Caribbean including Anguilla, Antigua, Barbados, Bermuda (Super Agent), , St Kitts, St Maarten and the US Virgin Islands. While at LILHC, Mr. Washington held senior level positions in Sales, Marketing, Management, Public Relations, Government Relations and Business Development.
In 2004, GTECH (www.gtech.com) acquired LILHC and Mr. Washington served as General Manager of Caribbean Lottery Services (the company that managed the Virgin Islands Lottery). Mr. Washington left GTECH in late 2004 to accept a position as Vice of Marketing and Sales at Caribbean CAGE, LLC. In 2009, Mr. Washington accepted his current position, Vice President of Business Development and Government Relations.
Before moving to the Caribbean, Mr. Washington spent several years working on Capital Hill. In 1991, he worked as a Senior Assistant for Democratic National Committee Vice Chair, Alexis Herman (Former Secretary of Labor). In 1992, Todd worked as Senior Advance and Special Assistant to Democratic National Committee Chairman, Ronald H. Brown. Mr. Washington also worked as a Personal Assistant to Rev. Jesse Jackson Sr. in 1994.
· Jaime R. Ortiz :: VP - Accounting & Finance
Jaime R. Ortiz is the Vice-President of Finance and Accounting for Caribbean CAGE, LLC. Under the direction of the Chairman of the Board of Directors, the Vice-President of Finance and Accounting plans, directs, monitors, coordinates, interprets and administers all functional activities and policies related to treasury and finance, accounting, payroll, tax planning, budgeting and new business models projections within CAGE management team. Directly supervises accounting departments of Barbados, St. Kitts-Nevis, St. Lucia and the Dominican Republic.
Mr. Ortiz came to Cage in July 2012 with over twenty years of experience in auditing in Big 4 CPA firms and public companies. He has management experience in accounting, budgeting, board presentations, cash management, claims processing, financing, investments, information systems, regulatory relations and strategic planning.
Mr. Ortiz earned his BBA and Juris Doctor from the University of Puerto Rico, Rio Piedras campus. He is a Certified Public Accountant, Certified Fraud Examiner and an Attorney at Law in Puerto Rico. He has previously been the CFO for FHC Health Systems (a PSY Solutions company) and Finance Manager at Puerto Rico Telephone Company. As part of KPMG, Mr. Ortiz audited over a hundred of entities within Puerto Rico and the United States, specializing in Financial Institutions and Manufacturing.
· James M. Christian, Sr. :: VP-Legal Affairs & Compliance
James M. Christian, Sr., Esq. is the Vice President of Legal Affairs and Compliance, reporting directly to the Chairman of the Board. As the Vice President for Legal Affairs, Mr. Christian has the responsibility for three different portfolios of corporate responsibility. As the chief legal advisor of the corporation, he provides legal advice and counsel in a wide range of legal areas including corporate governance, contracts, intellectual property, real estate leasing and acquisition, taxation, gaming laws and regulations, administrative law, and employment law and health benefits. In addition, Mr. Christian is responsible for ensuring that all company operations in all jurisdictions are in strict compliance with national and local laws, rules and regulations governing the corporation’s operations and gaming services. Mr. Christian is also responsible for coordinating the work of outside legal counsel for the company, including their representation of the company in any litigation; supervising administration of the corporation’s compliance programs in Barbados, St. Kitts-Nevis, the Dominican Republic and St. Lucia.
Mr. Christian joined CAGE in January, 2013, having previously served in various positions in the United States federal and District of Columbia local government and as a legal practitioner in the private practice of law. He brings to CAGE over 30 years of in-depth professional experience, ranging from advising members of the United States Congress and representing governments on the continent of Africa and in the Caribbean; to representing private sector corporations in complex transactions and administrative proceedings. As a lawyer in private practice, Mr. Christian has been a named partner in his own law firms and has also been a principal or administrative partner in major law firm practices in the United States.
Mr. Christian earned his BA degree from Howard University, graduating magna cum laude where he was also inducted into Phi Beta Kappa. He is a member of the District of Columbia Bar, the American and National Bar Associations and received his Juris Doctor from the Harvard Law School.
· Kyle Washington :: Assistant Vice President
Kyle W. Washington started in the lottery business in 2000 as the Daily Draw Supervisor for the DC lottery, the state lottery for the District of Columbia. Mr. Washington’s duties included supervising the three daily-televised draws. In 2002, Mr. Washington was offered an operating position to work for Caribbean Lottery Services (“CLS”) in St. Croix, the US Virgin Islands. Mr. Washington participated actively in launching several new online lottery games in the USVI including Power Ball and Power Play. These two new games were authorized under the US Multi-State LotteryAssociation (MUSL).
Mr. Washington was, thereafter, appointed the Director of Agent Retention and Development for CLS. Mr. Washington’s job included maintaining good working and profitable relationships with the CLS”s agents and the development of new agents.
In 2003, Mr. Washington was appointed the Assistant Director of Marketing & sales for CLS. In this new and expanded role, Mr. Washington’s duties included assisting the Director of Marketing and Sales, launch new games, setting up marketing plans that included radio, television and print media as well as machine promotions.
In 2004, Mr. Washington joined the staff of Caribbean CAGE, LLC as the Director of Market Research for CAGE. Additionally, MR. Washington has worked for short periods of time in Sint Maarten, Antigua, St. Kitts, Barbados, St. Lucia and Curacao.
Mr. Washington attended Clark Atlanta University in Atlanta, Georgia with a major in Business Administration.
February 1, 2018, Kyle Washington was promoted to Assistant Vice President for Caribbean CAGE, LLC.
· Robert J. Craig :: Director of Engineering Technology & Systems
Robert Craig has more than 13 years experience in the gaming industry. Prior to joining the CAGE management team in September 2005, he was the Director of the Engineering Department for Nevada’s largest gaming route operator, United Coin Machine Co.
With a background in Electrical Engineering and Embedded Systems Design, Mr. Craig has been involved in all major aspects of gaming product development and route operations including game design, software development, system integration and regulatory compliance.
Mr. Craig holds a Bachelor of Science degree in Electrical Engineering from the University of Nevada, Las Vegas.
· Andrew P. Day :: Corporate Director of Best Practices, Terminal Utilization Analysis, Operational Support & Training
Andrew Day's career has spanned more than 28 years in the Technical Gaming Industry. He started his career in Gaming in 1984 when he attended Gaming School in Sparks, Nevada. He completed his degree in 1985 and immediately joined United Coin Machine Company. He began his career at United Coin as a Bench Repair Technician. Andrew's hard work and talent were evident and he was promoted to the position of Installation Technician.
In 1999 he was given the title of Service Manager at United Coin Machine. Due to his expertise he became the point of contact on all software and network related issues. He was in charge of service, installations, dispatch and scheduling and monitoring all special projects related to route locations, he created custom Dbase IV and FoxPro programs for route service issue analysis, and managed approximately 60 employees until he decided to join the Caribbean CAGE, LLC team where he currently holds the position of Corporate Director of Best Practices, Terminal Utilization Analysis, Operational Support & Training for Caribbean CAGE, LLC.
· Janet Davila :: Corporate Director of Marketing and Promotions
Ms. Davila holds a BBA with a minor in Systems Information from the Inter American University of Puerto Rico, Fajardo Campus 2006, she was on the Deans list on 4 occasions and graduated Magna Cum Laude. She also earned an MBA with a concentration in Marketing from Inter American University of Puerto Rico, Metro Campus 2011. Ms. Davila is currently working towards being certified as a Certified Marketing Executive.
Ms. Davila was the Marketing and Promotions Manager in the Dominican Republic from 2009- 2011; there she built, developed, and grew the business relationships vital to the success of the Marketing Department. Coached, mentored, motivated and supervised Marketing team members and influence them to take positive action and accountability for their assigned work. Monitored and analyzing market trends, studied competitors' products and services, identified target markets and developing strategies to communicate with them.
Since 2011 Ms. Davila is the Corporate Marketing & Promotions Manager with Caribbean CAGE, LLC. Currently she manages 4 markets: St. Kitts-Nevis, Barbados, St. Lucia and the Dominican Republic. Manages and coordinates all marketing, advertising, promotional staff and activities. Conducts market research to determine market requirements for existing and future games. Analysis of customer research, current market conditions and competitor information. Develops and implements marketing plans and projects for new and existing games, E-Marketing, Social Media Management.
Prior to joining CAGE, Ms. Davila worked with Group Services, Inc. located in the Conquistador Hotel & Resort in Fajardo, PR. She held the positions of Tour Desk and Marina Activities Manager along with supervising group functions. She managed over 30 vendors & 10 direct employees. She also assisted as VIP Guest Manager at Las Casitas Village.

Robert L. Johnson
Founder and Former Chairman & Chief Executive Officer,
Black Entertainment Television (BET) Holdings.
Robert L. Johnson is Chairman, Chief Executive Officer and Co-Founder of RLJ. Mr. Johnson has held longstanding senior roles in the travel and leisure industries, serving on the Boards of Directors of both Hilton and USAirways. Mr. Johnson is the Founder and former Chief Executive Office of Black Entertainment Television (now a subsidiary of Viacom Inc.) ("BET"), a leading African-American operated media and entertainment company in the United States. Under Mr. Johnson's leadership, BET has achieved financial and strategic success, becoming a highly recognized brand within the African-American consumer marketplace. In December 2000, Mr. Johnson officially launched RLJ. In January 2001, he sold privately held BET to Viacom Inc. for approximately $3 billion. At the same time, Mr. Johnson formed RLJ Companies, which includes RLJ. Under the RLJ Companies umbrella, Mr. Johnson owns or holds interests in companies operating in the hotel, real estate, gaming, restaurant, media/entertainment and sports industries.
Mr. Johnson is also the majority owner of the Charlotte Hornets, the National Basketball Association ("NBA") franchise in Charlotte, North Carolina and the Charlotte Sting of the Women's National Basketball Association ("WNBA"). In acquiring the Charlotte NBA and WNBA teams, Mr. Johnson became the first African-American majority owner of a major professional sports franchise. Prior to founding BET in 1979, Mr. Johnson served as Vice President of Government Relations for the National Cable & Telecommunications Association, a trade association representing more than 1,500 cable television companies.
Mr. Johnson recieved a B.A. degree from University of Illinois in 1968 and an M.A. degree in International Affairs from the Woodrow Wilson School of Public and International Affairs at Princeton University in 1972. He has been featured on the cover of Sports Illustrated and was at the top of its list of the "101 Most Influential Minorities in Sports." Other major awards received by Mr. Johnson include the 1997 Broadcasting & Cable magazine's Hall of Fame Award, Cablevision Magazine's 20/20 Vision Award (recognizing him as one of the 20 most influential people in the cable industry) and an NAACP Image Award.

From the mission statement and the detailed points that address the CAGE business goals, the focus of the strategy is on creating a gaming experience for the locals in a particular market that can be shared secondarily by tourist/visitors. The primary focus of CAGE’s gaming model is to be a distributed route gaming business with a number of small local based sites comprising the primary source of machine deployment throughout the region.
•Problem gamblers are attracted to different forms of gambling for different reasons. Some are attracted to the sensory stimulation of video games of chance, while others to the perception of skill in cards or sports betting. Still others are drawn to the seemingly easy money of high-risk investments. Many, if not most, pathological gamblers indulge in more than one form of gambling. However, studies of pathological gamblers have found that the most frequently cited games of preference are slot machines, card games, and sports betting. A Minnesota study of 944 gamblers in treatment found that 37 percent listed slot machines as their preferred game and 37 percent listed cards. Lottery games, dice games, and games of skill were each cited by less than 1 percent of those in the study. (Stinchfield and Winters, 1996)
•2 million (1%) of U.S. adults are estimated to meet criteria for pathological gambling in a given year. Another 4-8 million (2-3%) would be considered problem gamblers; that is, they do not meet the full diagnostic criteria for pathological gambling, but meet one of more of the criteria and are experiencing problems due to their gambling behavior. Research also indicates that most adults who choose to gamble are able to do responsibly.
•Approximately 85% of U.S. adults have gambled at least once in their lives; 60% in the past year. Some form of legalized gambling is available in 48 states plus the District of Columbia. The two without legalized gambling are Hawaii and Utah.
•Along with research into this area, CAGE supports and many jurisdictions have established funding mechanisms for responsible play. Some examples include setting aside $250,000 or more for problem gaming hotlines with "1-800" numbers for help lines printed on each ticket or gaming devise like a VLT or lottery machine.
•Many lotteries can provide help for compulsive gamblers by helping to finance problem gambling services. From 24-hours help lines to "responsible play" advertising and marketing campaigns, lotteries throughout the world have a history of helping jurisdictions deal with this issue.
Example: Texas
-State law requires lottery to print a gambling hotline number on the back of all tickets. The toll-free "800" number is established and maintained by the Texas Commission on Alcohol and Drug Abuse.
-The Texas Lottery provides $375,000 each fiscal year to the Texas Commission on Alcohol and Drug Abuse for the purpose of the Compulsive Gambling Hotline.
Example: Florida
-The Florida Lottery voluntarily funds a 24-hour, toll free, statewide problem gambling referral service through the Florida Council on Compulsive Gambling. Additionally, the Lottery prints brochures and other materials for the Council.
-A Problem Gambling Brochure has been developed and is being printed in partnership with the Florida Council on Compulsive Gambling and will be placed at the Lottery’s in-store play stations.
-The Florida Council on Compulsive Gambling’s toll free number is posted in Lottery retailer locations with the warning that "Gambling Can Be Addictive." This number also appears on the Lottery’s web site and on "How To Play" brochures.
-The Lottery suspends radio ads and instead broadcasts reminders to "Play Responsibly" when the LOTTO jackpots are high.
-The prevention of underage play is a high priority. Advertising is aimed at 25 and older audiences and retailers can be suspended, lose their licenses and be charged with a second-degree misdemeanor.
-An underage play message is included in "How To Play" brochures and other game-specific brochures and POS, on the backs of instant and on-line tickets, on-line playslips and on decals at instant ticket vending machines.
-Special events and promotions are reviewed to ensure that underage audiences are not targeted.
-"Odds of winning information" is widely available at stores and printed on Lottery materials. Odds of winning information is also included in our advertising, where possible, and on instant tickets.
-Lottery playslips, tickets and pertinent marketing materials now carry the tagline "Please Play Responsibly".
Many lotteries around the world address the challenges of problem gambling. Studies have shown that lotteries are not a major cause of problem gaming but, as they are state-run, have taken steps to support those players that might have compulsive behavior toward gaming and require some assistance.

CAGE’s Definition Of Route System Operations
Goal:
Empowerment Of Local Businesses (Sites) And Strong Recurring Revenues For Governments.
Site Definition:
Local businesses where VLT operations will comprise a secondary revenue source from other services currently being conducted. Site qualifications are determined by local requirements.
Examples Include:
• Bars/Taverns, Restaurants, Grocery Stores, Convenience Stores, Gas Stations, Drug Stores, Small Hotels, Seaports, Airports.
• Typical site sizes for the Route for example can vary from 3 to 25 machines.
• Exception to size would be areas such as Seaports, Airports & Small Hotels.
• Certain markets may require venues to be opened with local operators where the primary revenue source will be from VLTs.
